A. Terms of Service

1. Acceptance of Terms

By accessing or using the Sites, you agree to be bound by these Terms of Service (“Terms”) and all applicable laws and regulations. If you do not agree, you must not use or access the Sites. These Terms are an agreement between you (“you” or “your”) and Coulsell Investments, LLC (“Coulsell Investments,” “we,” “us,” or “our”).

These Terms govern all websites, products, software, AI tools, applications, and consulting services provided through the Sites, including:

• AI services, APIs, software tools, and related materials available via ai.coulsellinvestments.com; and
• All sub-domains and their content, AI services, APIs, software tools, and related materials on parent domain coulsellinvestments.com.

3. No Warranty; Limitation of Liability

Important: You access and use the Sites and all content, software, and services at your own risk.

The Sites and all content, features, and services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory, including without limitation warranties of title, merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

To the maximum extent permitted by law, Coulsell Investments, LLC and its owners, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Sites or services, even if we have been advised of the possibility of such damages. Without limiting the foregoing, we assume no responsibility for:

• Errors, omissions, or inaccuracies of content;
• Personal injury or property damage resulting from access to or use of the Sites;
• Any unauthorized access to or use of our servers or your information;
• Any interruption or cessation of transmission to or from the Sites;
• Any bugs, viruses, trojan horses, or similar harms transmitted through the Sites by any third party;
• Any actions or omissions of users or third parties.

Some jurisdictions do not allow certain disclaimers or limitations; to that extent, such disclaimers or limitations shall apply to the fullest extent permitted by law.

Except for User-Generated Content and User-Paid Generative Outputs as defined below, all source code, software, designs, databases, text, photographs, audio, video, graphics, trademarks, service marks, trade dress, documentation, and other content on or available through the Sites (collectively, the “Company Content”) are the sole and exclusive property of Coulsell Investments, LLC and are protected by applicable intellectual property and other laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Sites for lawful purposes only. You may not copy, reproduce, modify, distribute, publicly display, publicly perform, download, store, reverse engineer, decompile, or disassemble any part of the Sites or Company Content, except as expressly permitted by us in writing. Any unauthorized use terminates your permission to access the Sites.

5. User Content

You retain ownership of (a) content that you create, upload, or submit to the Sites (“User-Generated Content”) and (b) outputs you pay to generate using our AI services (“User-Paid Generative Outputs”). For clarity, “User-Paid Generative Outputs” are the machine-generated results produced through paid usage tied to your account.

You grant Coulsell Investments, LLC a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display such content as reasonably necessary to operate, secure, and improve the Sites and services. We may remove content that violates these Terms or applicable law. You represent and warrant that you have all rights necessary to submit the content and grant the foregoing license.

Except for the limited license above, we do not claim ownership of your User-Generated Content or your User-Paid Generative Outputs.

6. No Professional Advice

Content and tools made available through the Sites are for informational and educational purposes only and do not constitute financial, legal, investment, or other professional advice. You should seek advice from qualified professionals before making decisions.

7. Third-Party Links & Services

The Sites may include links to third-party websites, products, or services. We do not control and are not responsible for third-party content, policies, or practices, and we do not endorse them. Your use of third-party resources is at your own risk and subject to their terms and policies.

8. Indemnification

You agree to defend, indemnify, and hold harmless Coulsell Investments, LLC and its affiliates, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Sites or services; (b) your violation of these Terms; or (c) your infringement or misappropriation of any third-party rights.

9. Termination

We may suspend or terminate your access to the Sites or services at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, all rights and licenses granted to you hereunder immediately cease.

10. Governing Law

These Terms are governed by and construed under the laws of the State of Texas, United States of America, without regard to conflict-of-laws principles. You agree that the exclusive jurisdiction and venue shall be in the courts of Ellis County, Texas, USA.

11. Changes to Terms

We may revise these Terms from time to time. The updated version will be posted here with a new “Last Updated” date. Your continued use of the Sites after posting constitutes acceptance.
